By accessing our website, placing an order, or completing a purchase, you acknowledge that you have read, understood, and agreed to these Terms & Conditions and any policies incorporated into them.
Please review these terms carefully before completing a purchase.
1. ABOUT SMAI PHILIPPINES
SMAI Philippines offers martial arts and sporting products, including karate uniforms, protective equipment, training equipment, accessories, and related merchandise.
Products may be offered as On Hand or Made to Order / Pre-Order, as indicated on the applicable product page.
2. USE OF OUR WEBSITE
Customers may use the SMAI Philippines website for lawful personal and commercial transactions related to the products and services we offer.
You agree not to:
- use the website for unlawful or fraudulent purposes;
- attempt to interfere with the operation or security of the website;
- provide intentionally false or misleading information;
- attempt unauthorized access to customer accounts, systems, or website functions; or
- use website content in a manner that infringes intellectual property or other legal rights.
We reserve the right to restrict access to the website where reasonably necessary to protect our customers, business, systems, or legal rights.
3. PRODUCT INFORMATION
SMAI Philippines makes reasonable efforts to provide accurate product descriptions, photographs, specifications, sizes, colors, availability information, and prices.
However, actual product colors may vary slightly depending on lighting, photography, display settings, manufacturing batches, and other factors.
Customers are responsible for reviewing applicable size charts, measurements, product descriptions, colors, specifications, and availability status before purchasing.
Minor variations that do not materially affect the nature, function, or quality of a product will be handled reasonably and in accordance with applicable law.
4. PRODUCT AVAILABILITY
Products may be identified as:
ON HAND — currently available in local inventory, subject to actual stock availability when the order is processed.
MADE TO ORDER / PRE-ORDER — not currently available in our local inventory and intended for inclusion in an upcoming SMAI Philippines supplier purchase order.
Made-to-Order / Pre-Order products are subject to our separate Pre-Order / Made-to-Order Information Policy.
Customers requiring a product for a particular tournament, competition, event, travel date, or other deadline should not purchase a Made-to-Order / Pre-Order item unless they are prepared to accept that no particular arrival or delivery date is guaranteed.
5. ORDERS
Placing an order constitutes an offer to purchase the products identified in the order.
Customers are responsible for checking the accuracy of their:
- product selection;
- size;
- color;
- quantity;
- billing and delivery information;
- contact information; and
- product availability status
before completing payment.
SMAI Philippines may contact the customer if additional information is required to process an order.
We reserve the right to decline or cancel an order where reasonably necessary because of circumstances such as an obvious pricing or listing error, suspected fraud, inability to supply the product, payment failure, or another legitimate reason, subject to applicable consumer law.
If SMAI Philippines cancels a fully paid order because we are unable to fulfill it, any amount properly due for refund will be handled according to applicable law and our Order Cancellation, Return & Refund Policy.
6. PRICES
Product prices are displayed on the website and may be changed from time to time.
The price applicable to an order is generally the price displayed when the customer completes the purchase, subject to correction of obvious errors and applicable law.
A displayed crossed-out regular price and lower selling price do not necessarily mean that every product is part of a temporary promotional campaign unless the product is specifically identified as being offered under such a promotion.
Shipping and delivery charges are separate from the product purchase price unless expressly stated otherwise.
7. PAYMENT
Orders must be paid using one of the payment methods made available by SMAI Philippines at checkout.
Credit and debit card transactions may be processed through PayPal or another authorized payment provider.
Customers are responsible for providing accurate payment information and ensuring that they are authorized to use the selected payment method.
Orders may not be processed or released until the required product payment has been successfully received or confirmed.
8. SHIPPING & DELIVERY
Shipping and delivery costs are generally shouldered by the customer and calculated separately from the initial product purchase, unless specifically stated otherwise.
Nationwide orders may be shipped through LBC, J&T Express, or another suitable courier.
Local deliveries may be arranged through Lalamove, Maxim, or another available delivery provider.
After an order is prepared, the applicable shipping or delivery charge will be determined and communicated to the customer.
The applicable shipping or delivery charge must be paid before the order is dispatched.

9. MADE-TO-ORDER / PRE-ORDER PRODUCTS
Made-to-Order / Pre-Order products are not available for immediate delivery.
Such products are intended for inclusion in an upcoming supplier purchase order. The overall process may take approximately two to three months or potentially longer, depending on purchase-order scheduling, supplier availability, factory production, international freight, customs processing, and other circumstances.
This general timeframe is provided for guidance only and is not a promise, commitment, or guaranteed fulfillment or delivery date.
If a customer needs a product immediately or requires it for a specific tournament, competition, event, travel date, or other deadline, the customer should not purchase the product as Made to Order / Pre-Order.

10. CANCELLATIONS
Customers should carefully review their orders before completing payment.
Customer-requested cancellations, including cancellations resulting from a change of mind, ordering an incorrect size, color, quantity, or product, or deciding not to wait for a Made-to-Order / Pre-Order item, are subject to our Order Cancellation, Return & Refund Policy.
Where a customer-requested cancellation and refund are approved, actual payment-processing fees that are not returned to SMAI Philippines may be deducted where permitted by applicable law.
11. RETURNS & REFUNDS
Returns require prior authorization from SMAI Philippines.
Approved discretionary returns generally require merchandise to be unused, unworn, unwashed, unaltered, with all original tags and labels attached, and in its original packaging.
Products that are defective, damaged, incorrect, or materially non-conforming will be handled in accordance with applicable Philippine consumer protection law.

12. PROMOTIONS & DISCOUNTS
Promotions, discounts, promotional codes, or special offers may be subject to additional terms, eligibility requirements, availability periods, or limitations.
Unless expressly stated otherwise, promotional offers may not be combined.
SMAI Philippines reserves the right to correct errors relating to promotions or discounts, subject to applicable law.
13. CUSTOMER ACCOUNTS
Customers who create an account are responsible for maintaining the confidentiality of their login credentials and for activity conducted through their account where applicable.
Please notify SMAI Philippines if you believe your account has been accessed without authorization.
14. PRIVACY
Personal information collected through the SMAI Philippines website will be handled according to our Privacy Policy and applicable Philippine privacy and data-protection laws.
Our Privacy Policy explains the types of information we may collect, why it is processed, when information may be provided to service providers, and customers’ applicable privacy rights.
15. INTELLECTUAL PROPERTY
Unless otherwise stated, website content belonging to SMAI Philippines, including original text, layouts, graphics, photographs, product presentations, and other original materials, may not be copied, reproduced, distributed, republished, or commercially exploited without authorization.
Third-party trademarks, product names, logos, photographs, and other intellectual property displayed on the website remain the property of their respective owners.
Nothing on this website grants customers ownership or licensing rights to SMAI Philippines or third-party intellectual property except where expressly stated.
16. WEBSITE AVAILABILITY
We aim to keep the website available and functioning properly but cannot guarantee uninterrupted or error-free access at all times.
The website may occasionally be unavailable because of maintenance, updates, technical problems, hosting issues, internet disruptions, or circumstances outside our reasonable control.
17. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, SMAI Philippines will not be responsible for indirect or consequential losses arising solely from circumstances outside our reasonable control, including courier delays, international transportation delays, customs processing, network outages, or third-party service interruptions.
Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by Philippine law.
In particular, nothing in these Terms & Conditions is intended to remove or restrict a customer’s mandatory rights regarding defective, unsafe, incorrect, or materially non-conforming products.
18. THIRD-PARTY SERVICES
Our website and order process may involve third-party services, including payment processors, couriers, delivery providers, hosting providers, and other technology services.
These third parties may have their own terms, privacy practices, service limitations, and operational requirements.
SMAI Philippines is not responsible for the independent acts or omissions of third parties except to the extent responsibility cannot legally be excluded.
19. ELECTRONIC COMMUNICATIONS & AGREEMENT
By placing an order electronically, customers acknowledge that transactions, communications, notices, acknowledgements, and agreements may be completed electronically.
Philippine law recognizes electronic data messages, electronic documents, and the formation of contracts through electronic means.
A customer’s completion of checkout, payment, or required acknowledgement may therefore constitute electronic evidence of acceptance, subject to applicable law.

21. PHILIPPINE CONSUMER RIGHTS
These Terms & Conditions are not intended to waive, restrict, or override rights that consumers are entitled to under applicable Philippine law.
The Consumer Act of the Philippines establishes protections for consumers, including protections relating to unfair, deceptive, and unconscionable practices.
Online transactions in the Philippines are also subject to the Internet Transactions Act of 2023 (Republic Act No. 11967) and other applicable laws.
If any provision of these Terms & Conditions conflicts with a mandatory legal requirement, the applicable law will prevail.
22. GOVERNING LAW
These Terms & Conditions and transactions with SMAI Philippines shall be governed by and interpreted in accordance with the laws of the Republic of the Philippines, without prejudice to any mandatory rights or remedies available to consumers under applicable law.
For customers located outside the Philippines, any additional mandatory consumer protections that legally apply to the transaction will not be excluded by these Terms & Conditions.
23. CHANGES TO THESE TERMS
SMAI Philippines may update these Terms & Conditions from time to time to reflect changes in our business practices, website, services, policies, or applicable laws.
The version published on the website at the relevant time will apply subject to applicable legal requirements.
